PIQUE TECHNOLOGIES, INC. TERMS OF SERVICE

IMPORTANT – PLEASE READ CAREFULLY: BY DOWNLOADING, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE (the "AGREEMENT") WITH PIQUE TECHNOLOGIES, INC. ("PIQUE"). IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT USE THE SERVICE.


1. DEFINITIONS

1.1 “Service” means Pique’s software, applications, platforms, websites, tools, features, functionality, content processing and artificial intelligence capabilities, and/or related services made available by Pique, including its artificial intelligence–powered note-taking and productivity platform designed to assist users in capturing, organizing, and understanding information from meetings, lectures, and other spoken or written content. The Service may include features such as transcription, summaries, note organization, mind maps, content processing, and other productivity tools, as well as integrations with third-party technologies or artificial intelligence providers. The Service includes any updates, modifications, improvements, or additional functionality that Pique may make available from time to time.

1.2 You” means the individual who, by signing up for, accessing, or using the Service, agrees to be bound by this Agreement.

2. LICENSE, RESTRICTIONS, AND PERMITTED USE

2.1 License Grant. Subject to the terms of this Agreement, Pique grants You a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for personal, educational, or internal business purposes in accordance with this Agreement.

2.2 Restrictions. You shall not, and shall not cause or permit others to: (i) reverse engineer, decompile, or disassemble the Service; (ii) modify or create derivative works based on the Service; (iii) copy, lease, rent, sell, sublicense, or distribute the Service; (iv) use the Service to develop a competing product or service; (v) violate academic integrity policies or institutional rules; (vi) remove proprietary notices or circumvent security protections; (vii) allow unauthorized third parties to access the Service or share account credentials; (viii) use automated tools, bots, scraping technologies, or similar methods to access the Service in violation of this Agreement; and/or (ix) interfere with or disrupt the operation of the Service.

2.3 Acceptable Use. You agree to use the Service in compliance with all applicable laws and regulations. You agree not to use the Service to: (i) transmit, upload, store, or generate unlawful, infringing, defamatory, harmful, or otherwise objectionable content; (ii) engage in fraudulent, deceptive, abusive, harassing, or harmful activity toward others; (iii) violate the intellectual property rights, privacy rights, or other legal rights of any person or entity; (iv) collect, store, or process personal information in violation of applicable privacy or data protection laws; (v) record, transcribe, or process conversations using the Service without obtaining legally required notices or consents from participants; (vi) impersonate another person or misrepresent your affiliation with any person or organization; (vii) interfere with or disrupt the integrity, security, or operation of the Service or attempt to access systems or data not intended for you; and/or (viii) use the Service in a manner that could damage, disable, overburden, or impair the Service or other users’ ability to access or use the Service. Pique reserves the right to suspend or terminate access to the Service if You violate this section or otherwise misuse the Service, or if Pique reasonably believes such action is necessary to protect the Service, its users, or applicable law. Pique may also remove or disable access to User Content that it reasonably believes violates this Agreement, applicable law, or the rights of others.

2.4 No Monitoring Obligation. Pique does not monitor, review, or control User Content or user activity within the Service and has no obligation to do so. Pique makes no representations regarding the accuracy, legality, or appropriateness of any User Content or recordings processed through the Service. Pique reserves the right, but not the obligation, to remove or restrict access to content or accounts that it reasonably believes violate this Agreement, applicable law, or the rights of others.

2.5 Permitted Use. The Service is intended to support productivity, note-taking, and knowledge organization in personal, educational, and internal business settings, including use during meetings, lectures, study sessions, training programs, or similar activities. The Service does not provide legal, financial, medical, or other professional advice. The Service is not intended to replace professional judgment or independent review, and users should verify important information before relying on outputs generated by the Service. You acknowledge that the Service may evolve over time and may change as features are updated or improved. You further acknowledge that the Service may generate automated outputs such as transcripts, summaries, tags, or other AI-generated content. Such outputs are provided for informational and productivity purposes only and may contain inaccuracies or omissions. Accordingly, the Service should not be relied upon as the sole system of record, and should not be used as the exclusive basis for critical decisions, legal compliance obligations, or legally binding documentation unless independently verified. You agree to use the Service responsibly, in good faith, and in accordance with this Agreement.

2.6 Experimental and Beta Features. From time to time, Pique may make certain features available on a preview, experimental, or beta basis (“Beta Features”). Beta Features may be incomplete, contain errors, or change significantly prior to full release. Pique makes no representations or warranties regarding Beta Features and may modify or discontinue such features at any time without notice. Your use of Beta Features is at your own risk.

2.7 Account Registration and Security. You may be required to create an account to access certain features of the Service. When creating an account, You agree to provide accurate, current, and complete information and to keep such information updated. You are responsible for maintaining the confidentiality of Your account credentials and for all activities that occur under Your account. You agree to notify Pique immediately of any unauthorized use of Your account or any other breach of security. Pique is not responsible for any loss or damage arising from Your failure to safeguard Your account credentials.

2.8  Eligibility. The Service is intended for users aged 13 and older. By using the Service, You represent and warrant that You are at least thirteen (13) years old, or meet the minimum age required to consent to digital services in Your jurisdiction, whichever is higher. If You are using the Service on behalf of an organization, You represent that You have authority to bind that organization to this Agreement.

2.9 Geographic Availability and Jurisdictional Responsibility. The Service is operated from the United States. Pique makes no representation that the Service is appropriate, lawful, or available for use in all jurisdictions. If You access or use the Service from outside the United States, You do so at Your own initiative and are responsible for complying with all applicable local laws and regulations. 

3. OWNERSHIP AND INTELLECTUAL PROPERTY

3.1 Ownership of the Service. All rights, title, and interest in and to the Service, including all software, algorithms, artificial intelligence models, interfaces, design elements, documentation, trademarks, and other intellectual property associated with the Service, and any updates, improvements, modifications and/or enhancements thereto, are and will remain the exclusive property of Pique and its licensors. Except for the limited rights expressly granted in this Agreement, no rights are granted to You, whether by license, implication, estoppel, or otherwise. You may not use the Service except as expressly permitted under this Agreement.

3.2 User Content. You may create, upload, submit, or generate content through the Service, including notes, transcripts, summaries, recordings, text, files, or other materials (“User Content”). You retain ownership of Your User Content. 

By using the Service, You grant Pique a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, transmit, analyze, and display User Content solely for the purpose of operating, maintaining, providing, securing, and improving the Service and its features. Pique does not claim ownership of User Content.

You represent and warrant that You have all necessary rights, permissions, and consents to submit and use such User Content through the Service, including any rights required to record or process audio, transcripts, or other materials. You are solely responsible for the legality, accuracy, and compliance with applicable rules and laws relating to any User Content You create, upload, or generate through the Service.

3.3 Feedback. If You provide suggestions, comments, ideas, or other feedback regarding the Service (“Feedback”), You agree that such Feedback is voluntary and non-confidential. You hereby grant Pique a perpetual, irrevocable, worldwide, royalty-free right and license to use, reproduce, modify, incorporate, and otherwise exploit such Feedback in connection with the Service or any other products or services, without restriction, attribution, or compensation to You.

3.4 Copyright Complaints. Pique respects the intellectual property rights of others and expects users of the Service to do the same. If You believe that content available through the Service infringes Your copyright, You may submit a notice of alleged copyright infringement to Pique with sufficient information to identify the copyrighted work claimed to have been infringed and the material that is claimed to be infringing. Upon receipt of a valid notice of claimed infringement, Pique may remove or disable access to the allegedly infringing material in accordance with applicable law. Pique may also terminate the accounts of users who are repeat infringers where appropriate.

4. CONFIDENTIALITY

4.1 Pique may from time to time disclose non-public information about the Service, including technical information, security practices, product roadmaps, or other proprietary materials (“Confidential Information”). You agree not to use or disclose such Confidential Information except as necessary to use the Service in accordance with this Agreement. Confidential Information does not include information that: (i) becomes publicly available through no breach of this Agreement; (ii) was lawfully known to You prior to disclosure; or (iii) is lawfully obtained from a third party without restriction.

4.2 You agree to promptly notify Pique in writing upon discovering any unauthorized use or disclosure of Confidential Information and to cooperate with Pique in any reasonable efforts to mitigate the effects of such unauthorized use or disclosure.

5.  DATA COLLECTION, RECORDING CONSENTS, AND ARTIFICIAL INTELLIGENCE 

5.1 Data Collection and Privacy. You acknowledge and agree that Pique may collect, process, and use information in connection with Your use of the Service, including personal information, usage data, diagnostic and performance data, and content You submit or generate, for purposes of operating, supporting, maintaining, and improving the Service. All such collection and use is governed by Pique’s Privacy Policy, which is incorporated by reference into this Agreement and can be found on our website. By using the Service, You consent to the data practices described in the Privacy Policy. With respect to any personal data processed through Your use of the Service, You act as the data controller, and Pique acts as a service provider or data processor, as applicable under relevant data protection laws, processing such data as necessary to provide and operate the Service and for the purposes described in this Agreement and Pique’s Privacy Policy.

5.2 Recording Consents. The Service includes recording, transcription, and note-taking capabilities. You are solely responsible for obtaining any necessary consents before using such features, in compliance with all applicable laws. Pique does not monitor, control, or verify whether You have obtained such consents and does not act as a party to, or participant in, any recording made using the Service. You agree that You are solely responsible for compliance with all applicable recording, wiretapping, privacy, employment, education, and data protection laws, and that You are solely responsible for ensuring that Your use of the Service complies with all applicable laws regarding recording, monitoring, or transcription of communications.

5.3 Data Retention. The Service is designed as a productivity and note-taking tool and is not intended to serve as a system of record. You are solely responsible for exporting or preserving any content You wish to retain. Pique does not guarantee continued availability of any data submitted or generated while using the Service. You agree not to use the Service in any way that would impose data retention, legal hold, or regulatory compliance obligations on Pique unless expressly agreed by Pique in writing.  

5.4 Artificial Intelligence (AI) Features. Certain features of the Service are powered by artificial intelligence (“AI”). These AI-enabled features may generate content such as transcripts, summaries, mind maps, classifications, or suggested action items. These features are intended to assist with productivity, organization, and knowledge management. Pique may use third-party AI service providers under contract to power these capabilities. Any data processed by these services is used solely to enable the AI features and improve their performance and is handled in accordance with industry-standard privacy and security practices. You acknowledge and agree that by using the Service, You may interact with AI-generated outputs and that the accuracy, reliability, and completeness of such outputs cannot be guaranteed. AI features may produce inaccurate, incomplete, or unexpected results and should not be relied upon as the sole source of truth for important decisions, including for any critical, legal, or compliance-related purposes. Users are responsible for reviewing and verifying AI-generated outputs before relying on them. Pique may collect and analyze Service usage data, including interactions with AI features, and may use aggregated or de-identified information derived from such interactions to improve the Service and its AI systems. Pique does not use User Content to train generalized artificial intelligence models unless such use is disclosed in the Privacy Policy or you provide explicit consent.

5.5 International Data Transfers. By using the Service, You acknowledge that Your data may be transferred to and processed in the United States and other jurisdictions where Pique or its service providers operate, which may have data protection laws that differ from those in Your jurisdiction.

5.6 Scope of Use and Regulatory Limitations. The Service is intended as a personal productivity and note-taking tool for individual users, including students and professionals. The Service captures spoken content in transcript form to assist with note-taking and organization, and does not store raw audio recordings. The Service is not designed to function as an official system of record for educational institutions, employers, healthcare providers, or other regulated entities, nor to store or manage records subject to specialized regulatory or compliance obligations. Institutions or organizations that require compliance with specific legal, regulatory, or record-keeping requirements should not rely on the Service for such purposes unless expressly agreed by Pique in writing.

5.7 Third-Party Services. The Service may incorporate, rely on, or integrate with third-party technologies, platforms, or services, including artificial intelligence providers, cloud infrastructure providers, or integrations with other software platforms. Pique does not control and is not responsible for the availability, reliability, security, or practices of such third-party services. These third-party providers process data solely to provide functionality for the Service and operate under their own terms and policies. Your use of third-party services may be subject to the terms and policies of those providers. Pique shall not be liable for any loss or damage arising from the use of third-party services integrated with or accessed through the Service.

6. COMMUNICATIONS

6.1 Updates and Marketing. By using the Service, You agree that Pique may contact You regarding product updates, feature announcements, feedback opportunities, and communications related to the Service. You may opt out of non-essential communications at any time in accordance with applicable law. Participation in public marketing (for example, testimonials, case studies, or promotional materials) will occur only with Your express written consent.

6.2 Fees and Billing. Certain features of the Service may require payment of subscription fees. If You purchase a subscription, You agree to pay all applicable fees associated with Your selected plan. Subscriptions may renew automatically unless canceled before the renewal date. You may cancel Your subscription through Your account settings. All fees are non-refundable except where required by applicable law. Pique reserves the right to change pricing, introduce new fees, or modify subscription plans upon reasonable notice. Payment processing services may be provided by third-party payment processors and are subject to the terms and policies of those providers.

7. DISCLAIMER OF WARRANTIES

7.1  THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PIQUE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE, AS WELL AS ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

7.2  YOU ACKNOWLEDGE THAT THE SERVICE MAY CONTAIN BUGS OR ERRORS AND MAY NOT OPERATE AS INTENDED. PIQUE DOES NOT WARRANT AGAINST LOSS OR INACCURACY OF DATA OR THAT THE OPERATION OF THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. PIQUE SHALL NOT BE LIABLE FOR PROBLEMS INHERENT IN USE OF THE INTERNET OR FOR ISSUES RELATED TO YOUR NETWORK, INTERNET CONNECTION, OR CLOUD SERVICE PROVIDER ACCOUNT. THE SERVICE MAY RELY ON THIRD-PARTY SERVICES OR INFRASTRUCTURE, AND PIQUE MAKES NO WARRANTIES REGARDING THE AVAILABILITY OR PERFORMANCE OF SUCH THIRD-PARTY SERVICES.

7.3 Service Availability and Modifications. Pique may modify, update, suspend, or discontinue any part of the Service at any time, including features or functionality, with or without notice. While Pique strives to provide reliable access to the Service, Pique does not guarantee that the Service will be available at all times or free from interruptions, delays, or errors. Pique shall not be liable for any loss or damage resulting from the modification, suspension, or discontinuation of the Service.

7.4 AI Output Disclaimer. Outputs generated by artificial intelligence features are automatically produced and may not reflect factual information, accurate summaries, or complete representations of underlying content. Users are responsible for reviewing and verifying AI-generated outputs before relying on them.

8. LIMITATION OF LIABILITY

THE TOTAL LIABILITY OF PIQUE ARISING OUT OF OR RELATED TO THE SERVICE OR THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. IN NO EVENT SHALL PIQUE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS HAVE LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS SHALL APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent such exclusions or limitations are not permitted under applicable law, Pique’s liability shall be limited to the maximum extent permitted by such law.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Pique and its officers, directors, employees, affiliates, contractors, service providers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your use or misuse of the Service; (b) Your failure to obtain any required notice or consents; (c) Your violation of any applicable law or regulation; (d) any content, data, recordings, or other User Content You create, upload, or process using the Service; or (e) Your violation of this Agreement.

10. TERM AND TERMINATION

This Agreement shall commence upon Your acceptance and remain in effect until terminated. You may terminate this Agreement at any time by ceasing use of the Service and closing Your account, if applicable. 

Pique may terminate this Agreement or suspend or restrict access to the Service at any time if You violate this Agreement, misuse the Service, or if Pique reasonably believes such action is necessary to protect the Service, its users, the security or integrity of the platform, or to comply with applicable law. Pique may also modify, suspend, or discontinue the Service or any part of the Service at any time, with or without notice.  

Upon termination of this Agreement, Your right to access and use the Service will immediately cease. The following provisions shall survive termination of the Agreement: Sections 3 (Ownership and Intellectual Property), 4 (Confidentiality), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Indemnification), and 12 (General).

11. EXPORT CONTROL COMPLIANCE

You agree to comply with all applicable U.S. export control laws and regulations, including those administered by the U.S. Department of Commerce and the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), and shall not export, re-export, or allow access to the Service in violation of such laws. You represent and warrant that You are not located in, under the control of, or a resident of any country or territory subject to U.S. government embargoes or sanctions, and that You are not listed on any U.S. government list of prohibited or restricted parties.

12. GENERAL

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflicts of laws principles.

12.2 Dispute Resolution; Arbitration. Any dispute, claim, or controversy arising out of or relating to this Agreement or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its applicable rules. The arbitration shall be conducted in the State of Delaware unless the parties agree otherwise. You and Pique agree that disputes will be resolved on an individual basis and not as part of a class action, collective action, or representative proceeding. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction for claims involving intellectual property or unauthorized use of the Service.

12.3 Assignment. You may not assign or transfer this Agreement without prior written consent from Pique. Any attempted assignment in violation of the foregoing shall be null and void. Pique may assign or transfer this Agreement, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

12.4 Entire Agreement. This Agreement constitutes the complete and exclusive agreement between the parties with respect to the Service and supersedes all prior agreements, communications, and understandings.

12.5 Severability. If any provision of this Agreement is found to be unenforceable, the remainder shall remain in full force and effect.

12.6 Equitable Relief. You acknowledge that any breach of Sections 2 (License, Restrictions, and Permitted Use), 3 (Ownership and Intellectual Property), or 4 (Confidential Information) may cause irreparable harm to Pique and that Pique shall be entitled to seek injunctive relief in addition to other legal remedies.

12.7 Modifications to this Agreement. Pique reserves the right to update or modify this Agreement from time to time. If material changes are made, the updated Agreement will be posted on the Pique website or within the Service and the “Last Updated” date will be revised. Continued use of the Service after such changes constitutes acceptance of the revised Agreement.

12.8 Force Majeure. Pique shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, internet outages, acts of government, labor disputes, or failures of third-party service providers.

12.9 No Waiver. The failure of Pique to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

12.10 Independent Relationship. Nothing in this Agreement shall be deemed to create any partnership, joint venture, employment, or agency relationship between You and Pique.

12.11 Apple Disclaimer. This agreement is between You and Pique, not Apple Inc. ("Apple"). Apple is not responsible for the Service and has no obligation to provide maintenance or support. Apple shall not be responsible for addressing any claims relating to the Service.
