Terms of Service

IMPORTANT - PLEASE READ CAREFULLY: BY DOWNLOADING, ACCESSING, OR USING THE BETA PRODUCT, YOU AGREE TO BE BOUND BY THE TERMS OF THIS BETA TESTING AGREEMENT (the "AGREEMENT") WITH PIQUE TECHNOLOGIES, INC. ("PIQUE"). IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT USE THE BETA PRODUCT.

1. DEFINITIONS

"Beta Product" means the proprietary software, applications, platforms, features, and/or services identified as beta or pre-release or otherwise not commercially available, which are provided by Pique to You for testing and evaluation purposes.

"Confidential Information" means all nonpublic information disclosed by Pique, including the Beta Product, all accompanying and related documentation, features, functionality, performance data, and any feedback or suggestions You provide.

"You" or "Your" refers to the individual or entity that has agreed to this Agreement.

2. LICENSE, RESTRICTIONS, AND PERMITTED USE

Subject to the terms of this Agreement, Pique grants You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Beta Product solely for the purposes of testing, research, and evaluation.

You agree NOT to: - Use the Beta Product for any commercial purpose or in a production environment - Copy, modify, adapt, or create derivative works of the Beta Product - Reverse engineer, disassemble, decompile, or otherwise attempt to derive source code from the Beta Product - Remove, alter, or obscure any proprietary notices on the Beta Product - Share, distribute, sell, lease, or sublicense the Beta Product to any third party - Use the Beta Product to develop competing products or services

3. CONFIDENTIALITY

You acknowledge that the Beta Product and all related information constitute Confidential Information of Pique. You agree to: - Maintain the confidentiality of all Confidential Information - Not disclose Confidential Information to any third party without Pique's prior written consent - Use Confidential Information only as necessary to test and evaluate the Beta Product - Notify Pique immediately upon discovery of any unauthorized use or disclosure

4. FEEDBACK AND SUGGESTIONS

Any feedback, suggestions, ideas, or other information You provide regarding the Beta Product ("Feedback") shall become the exclusive property of Pique. You hereby assign to Pique all rights in such Feedback and agree that Pique may use and share such Feedback for any purpose without compensation or attribution to You.

5. DATA COLLECTION AND PRIVACY

You acknowledge that Pique may collect certain data related to Your use of the Beta Product for purposes of improving the product and services. Such data collection will be governed by Pique's Privacy Policy.

6. DISCLAIMER OF WARRANTIES

THE BETA PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PIQUE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Pique does not warrant that the Beta Product will meet Your requirements, operate without interruption, or be error-free. You acknowledge that the Beta Product is in development and may contain bugs, errors, and other problems that could cause system failures.

7. LIMITATION OF LIABILITY

IN NO EVENT SHALL PIQUE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE BETA PRODUCT, EVEN IF PIQUE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PIQUE'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

8. TERM AND TERMINATION

This Agreement is effective until terminated. Pique may terminate this Agreement at any time, for any reason, with or without notice. Upon termination, You must immediately cease all use of the Beta Product and destroy all copies in Your possession.

9. GENERAL PROVISIONS

Governing Law: This Agreement shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

Entire Agreement: This Agreement constitutes the entire agreement between You and Pique regarding the Beta Product and supersedes all prior agreements and understandings.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: The failure of Pique to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
